The terms that apply when you use zephanto.com or work with Zephanto on a project.

01Acceptance of these terms
By accessing zephanto.com or engaging Zephanto for services you agree to these Terms of Service. If you are agreeing on behalf of a company, you confirm you have authority to bind it. If you do not agree, please do not use the website or our services.
02Our services
Zephanto provides software design, development, cloud, data, AI, quality assurance and consulting services. The specific scope, deliverables, timeline and fees for any project are set out in a written proposal, statement of work or master services agreement ("Agreement"). If these terms conflict with a signed Agreement, the Agreement prevails.
03Proposals, fees and payment
Fixed-scope work is priced as agreed in the proposal; dedicated teams and staff augmentation are billed monthly. Invoices are payable within 14 days unless the Agreement says otherwise. Late payments may accrue interest at 1.5% per month and we may pause work until the account is current. Fees exclude applicable taxes.
04Client responsibilities
You agree to provide timely access, information, approvals and feedback needed for the project, to ensure you have the rights to any content or data you give us, and to use our deliverables in compliance with applicable law. Delays caused by missing inputs may extend timelines.
05Intellectual property
Upon full payment, you own the deliverables we create specifically for you, including source code, designs and documentation. Zephanto retains ownership of its pre-existing tools, libraries, templates and know-how, and grants you a perpetual, non-exclusive licence to use them as part of the deliverables. Open-source components remain subject to their own licences.
06Confidentiality
Each party will keep the other’s non-public information confidential, use it only for the project and protect it with reasonable care, for the duration of the engagement and three years afterwards. This does not apply to information that is public, already known, independently developed or required to be disclosed by law. We are happy to sign an NDA before discussing your project.
07Warranties and acceptance
We warrant that services will be performed with reasonable skill and care and that deliverables will materially conform to the agreed specification for a warranty period of 30 days after acceptance, during which we will fix reported defects at no charge. Except as stated, services are provided "as is" and we disclaim implied warranties to the extent permitted by law.
08Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental, consequential or punitive damages, or for lost profits, revenue or data. Zephanto’s total liability arising from an engagement is limited to the fees paid for that engagement in the 12 months before the claim. Nothing limits liability for fraud, wilful misconduct or anything that cannot be limited by law.
09Termination
Either party may terminate an engagement for convenience with 14 days’ written notice (30 days for dedicated teams), or immediately if the other party materially breaches these terms and fails to cure within 14 days. On termination you pay for work performed to date, and we hand over completed and in-progress deliverables for which payment has been received.
10Website use
Content on zephanto.com is provided for general information and is owned by Zephanto or its licensors. You may not copy, scrape, reverse-engineer or misuse the website, attempt to gain unauthorised access, or use it for anything unlawful. We may change or withdraw any part of the website without notice.
11Governing law and disputes
These terms are governed by the laws of Pakistan, without regard to conflict-of-law rules, unless a signed Agreement specifies otherwise. The parties will first try to resolve any dispute in good faith through discussion between senior representatives; failing that, the courts of Lahore have exclusive jurisdiction.
12Changes to these terms
We may update these terms from time to time. The date at the top shows when they last changed. Changes apply to new engagements and to website use after the change; existing signed Agreements are not affected unless both parties agree.
